Is it too formal? There should be no code of conduct at least for a picnic. If you are worried about their conduct away from work, don't take them to the picnic. They are all educated and responsible persons, right?

The code of conduct is only for official business purposes. For a one-day picnic, it is not necessary at all. However, please refrain from smoking and consuming alcohol. This, in itself, is a good code of conduct.
Furthermore, organize small games, encourage fun sharing, and engage in play to make the most of the moment. After this trip, everyone will request you to organize such outings frequently.

Yours is a genuine question. Let's say, always being formal, particularly when you are in the HR department, will help you go places. Start the Code of Conduct with:
- Reason for the picnic
- Dress code
- Who will bear the regular charges and outstanding and miscellaneous charges
- What will be served (breakfast? / lunch? / dinner?)
- Reporting head (who will organize the picnic, whom to report to on the scheduled day)
- Headcount
- What to do and what not to do? (No absconding in the middle of the picnic without information 😂)
- Should not move more than half a km from the picnic spot
- What are the fun events and their scheduled times
- Some personal talents exhibition (with prior permission)
All such things can be planned and documented to avoid any further confusion. People can enjoy a picnic if it is organized in a more professional way.

It is indeed a good HR practice. You have to plan it in order to attain the true picnic pleasure. There must not be any boss/supervisor relationship. Firstly, decide with all the team on the spot, for example, whether they want to spend a day at a historical place. Then plan activities according to the place, such as historical events if someone can share, people's lifestyles, food habits, music (you can dedicate songs), and others like:
