After issuing show cause notice those employees those employees need to submit explanation letter. There after conduct Domestic enquiry and during the enquiry if the charges against them were proved then you can proceed with termination.

this all can happen provided you have managments support as you are saying that they are the directors of the company , if they are directors of the comapny ypu would require managements support to do anything , you might come to know that the management knows it all and ok about it
