The question you have asked is reeeeally wide for answers to fit here.
i would suggest you to :
1) get hold of any good HR text book by any Indian Author.
2) Do some googleing about the same.
The information you should ve provided was the no of employees in your organization.
Before the policies are in place, you would need to design a basic frame work about the
1)Leaves (the types,the duration, etc you want)
2)Performance appraisals
3)Work hours
4)Benefits
5)Recruitments,transfers,deputation,separation)
Etc Etc (check the Text book)
The Code of Conduct (COC):
Will be a basic set of dos & donts, this again a general sets of guidelines (say hours of work, ethics, business conduct, dress code,acceptable & unacceptable behaviours, Use of office stationary & phones, holidays etc).
Note : it is very impt to keep the senior mgmt (hopefully yr boss) in loop as they will be the ones who will be having the final say in the yes or no or 'this is the right thing ' - in your org.
