I am working with a group of companies. In the PF account, the company name is Airen Yamaha, which is a part of Airen Automobile. I want to change the name from Airen Yamaha to Airen Automobile. I have contacted the PF office, but I didn't receive proper guidance. Please help me with the process of changing the name and the required formalities.

Hi Pooja Sharma, This can be done by giving of written request letter for change of company name, along with the proof of valid (official) document if any related to the company name change.

We have done it recently. At that time, we used to write a request letter in a copy letter about the name change and also enclosing the updated MOA (Memorandum of Association) as proof. The rest, they will take care of.

    I would like to add that in addition to Pragnaa HRCS and Madhan ji, you need to submit EPFO Form 5A in duplicate upon a Change of Name of the Company. You are required to submit Form 5A for any kind of change in your constitution or information previously filed with EPFO.

    Similarly, under ESI, apart from informing about the change with relevant documents, you must submit the ESIC annual return in Form 01 (A). This return should reflect the changes. You can now submit this return online.

  • It is strange that even EPFO is not aware of procedures for changing names. In addition to Form 5A & 01A, the change should be informed to the Inspector of Factories or Registration Officer under the Shop & Establishment Act, as the case may be, and to the applicable welfare fund, as well as to the professional tax authorities.

    In the company or private company, a special resolution was passed and filed with the ROC after receiving the certificate of incorporation. This document serves as the basis for the change of Inspector of Factories and Industries, similar to a government organization.

    The change of name is currently under procedure. In the case of sole trade/proprietorship/partnership, any change in the partnership deed or other official procedures is valuable.

    a) If the name change has happened due to the merger of two companies/firms, then a copy of the relevant order from the jurisdictional high court is required to be submitted to all authorities, including the factory inspectorate, labor, tax, and excise authorities need to be informed.

    b) In other cases, all the other authorities, including the factory inspectorate, labor, tax, and excise authorities, need to be informed with a copy of the new memorandum of articles of association as approved by the registrar of companies.

    c) If it is a single-owner proprietary firm, then a simple letter on the letterhead with an updated memorandum of articles of association would suffice.

    I, along with some other members, have provided you with an appropriate answer.

    If your question is how to change the company name, my answer to it is as follows:

    In the case of a proprietary firm or partnership firm, a change of name means a separate entity. You need to obtain fresh registration with PF, ESI, PT, LWF, Factory License, etc. Also, with Service Tax, Sales Tax, VAT, etc.

    In the case of a Private Limited or Limited Company, a name change can be obtained by making an application to ROC by adopting due procedure under the Company Act and obtaining a fresh certificate of incorporation upon the change of name.

    For name changes due to mergers and acquisitions, based on orders by respective HCs, apply to ROC and obtain a fresh certificate of incorporation.

    The intimation of the change of name should be given to all the concerned authorities with supporting documents. You need to get an endorsement or a fresh certificate upon this change. Additionally, you need to submit the prescribed form, if any, by any authority, e.g., EPF.

    Hi,

    A letter must be addressed to RPFC of your area along with the certified documents listed below. The same process needs to be followed for ESI. Form 5A will not be applicable in that case.

    Enclosures:
    1. Form No - 5A
    2. Copy of the original Form No-5A submitted at the time of registration.
    3. Copy of the Certificate of Registration issued by the O/o RPFC.
    4. Copy of PAN card for the new company
    5. List of Directors/Partners with addresses and contact details.
    6. ID & address proof for all directors/partners.
    7. Copy of the Certificate of Incorporation.
    8. Copy of the Memorandum of Association
    9. Articles of Association

    I have already completed this process from Yamuna International to Yamuna Industries Ltd. Therefore, my suggestion is as follows:

    1. Sir, you may intimate facts (by indicating your ESI Code Number) to the appropriate Regional/Sub-Regional Office of ESIC regarding a change of name of your company/firm. Please also send copies of the said letter to the Branch Office and SSO concerned. Additionally, you may enclose a copy of the revised Incorporation Certificate. Please refer to Regulation 10-C of ESI (General) Regulations, 1950.

    2. I think a similar intimation can also be submitted to the appropriate office of EPFO.

    Hi All,

    To change the company name in PF, all we need to do is prepare a request letter along with Form 5A (Form 5A has to be updated online in the United portal with the signatures of all directors and the company seal) and other documents such as the new Registration Certificate (MCA), the new PAN card of the company, or the new GST registration certificate. Submit all physical copies to the concerned PF department in your area.

If the name has been mistakenly posted by you, you will need to write to the department with a request to acknowledge the error. You must convince the department of the mistake and request that it be rectified. The department may require some form of written acknowledgment from you.
