Eligibility of Employees to Sign Documents for Another Company

An employee whose employment is registered by one company under the Companies Act, 2013, is he eligible to sign documents relating to HR & Admin of another company registered under the same Act? Can anyone clarify the same under the following situations:

1. If both companies are associated companies and operate business under one roof.

2. If any authorization through Board Resolution (BR) can authorize an outsider to sign all documents, for example, all internal documents relating to HR & Admin.

3. Can an employee of another company be eligible to sign or make decisions on all internal HR & Admin matters?

Simply put, the board is what drives a company. They can authorize any person if the Articles of Association do not state otherwise. Generally, there are no such clauses kept in the AOA. Therefore, read the AOA, and if there is no clause repugnant to this, then you can proceed with a Board Resolution on this matter.

Yes, he can sign, if the Board of both the associated companies have authorised so through a resolution passed by one of the Boards and accepted/ approved by the other Board.
