Since a new proprietor is taking over the factory or establishment which is already registered with ESIC, compliance should continue using the same code. Any necessary changes regarding the proprietor, bank account, etc., can be made by applying online at www.esic.in. There is no concept as such of a change of proprietor. The business of a proprietor has no independent existence; it is an extension of the proprietor. So, in the change of proprietor, it amounts to the sale of the business, and the same procedure will be necessary.
If you do want the business continuity, then it may be a good idea to convert it into a partnership. Please speak to your CA or tax advisor and figure out what you need to do.

Change of Owner in PF and ESI Registrations
If there is any change of owner, you have to submit Form 5A to the RPFC. Similar provisions are there for ESI as well, i.e., annual information. If, by change of proprietor, the name(s) of employer(s) already given to the authorities are not changed, then there is no need to inform them.
