In full consideration of the Services to be provided by 4thGSS hereunder client shall pay to 4th GSS the Service Fee as set out:

In full consideration of the Services to be provided by 4thGSS hereunder client shall pay to 4th GSS the Service Fee as set out:
- For Middle and Senior profiles we will provide CV’s within 48 to 72 hours of client signing the Agreement with us.
- For all profiles we will charge a one time search fee of 8.33% on the Annual CTC as one time search fee.
- 4th GSS would expect the Client company to revert back with the feedback on CV’s within 12 hours so that we can perform and give results as per the client requirement.
- Service Tax will be applicable as per existing norms.
- Client after giving the requirements to 4th GSS,will not put the positions on hold.
- Once the candidate is selected, we would want Client to mail us the soft copy of the offer letter.
- Client needs to make the payment within 15 days, soon after the candidate completes 15 days working at Client Place.
- If 4th GSS dos not get the payment on the specified time mentioned in the Agreement then,4th GSS can take a legal action against client
- 4th GSS will start work on the client requirements only once the Agreement is signed and once we have the job description in written from the company’s end.
- Tenure: The tenure of the agreement will be 1 (one) year and for 1 year client will give all the permanent vacancies to 4th GSS.
- Termination: Either party may terminate this agreement by giving 60 days written notice.

Dear Sir,
Talent Management Services would like to empanel itself and provide exclusive staffing and other HR solutions to your organization, as per its requirements from time to time, on terms and conditions given below:
· You shall pay Talent Management Services Professional Fees for each assignment.
· Our Consulting fee is equivalent to 8.33% of annual Cost to Co. (CTC) for placement work.
· The term CTC would mean the sum total of all salary components as given in the Appointment letter and will also include retirement benefits, if any.
· In cases where exact amount of perk value is not made available, notional values shall be considered.
· Outstation candidate/s called for interview by you will be reimbursed boarding & lodging and any other out – of – pocket expenses upon production of bills.
· All CVs sent to you remain the property of Talent Management Services for a period of 12 months from the date sent. In case, for any reason, a candidate is rejected for the referred position, but is selected for another position during those twelve months, full Professional Fees shall be payable to Talent Management Services.
· To enable billing, CTC details of the selected candidates shall be sent to us within 3 days.
· Professional Fees shall become payable immediately on joining of the selected candidates, shall be settled maximum within 30 days of

joining. Payment shall be made by cheque payable at New Delhi/ Gurgaon.
· Service Tax, currently at 12.24%, and any other levies & taxes as imposed by the Govt. authorities from time to time shall be applicable and payable by you.
· TDS Certificate shall accompany all payments made to us.
Replacement: In case a candidate placed by us leaves your employment within 90 days of joining, then we shall provide a panel of candidates to select a replacement, for which no Professional fees would be payable to us.
During the course of performance under this Agreement, Talent Management Services may have access to information pertaining to your organization or its related companies/ firms past, present, or future research, development, or business activities and any proprietary products, materials services, or technical knowledge or is identified as confidential by citation. In connection therewith:
· The Confidential Information would be used by Talent Management Services only to assist your organization in hiring and related HR services.
· Talent Management Services shall protect the confidentiality of the Confidential Information in the same manner that it would protect its own Confidential Information of like kind.
· Talent Management Services agrees that it will not hire or solicit for employment any employees from your organization during the term of this Agreement.
