Dear All,

Please guide me when any company takes over another running organization. What are the legal processes? What documents should be maintained? What are the liabilities of ESI, PF Act, Factory Act, Bonus Act, etc.?

If the organization already covers ESIC/PF/Factory Act/approved manpower, then we can continue with the old ESIC/PF code. What type of letter or documents should be produced to ESIC/PF?

If the name of the organization has been changed, a fresh Certificate of Incorporation (COI) would have been issued by the ROC. The intimation of the change in name has to be given to the authorities by way of a letter attaching the copy of the fresh COI so that they can update their records with the new name and the codes/registration numbers would remain the same.

If the name has not been changed, there is no need to take any action as there is only a change in shareholding, and it does not affect the registration with the PF & ESI authorities.

Hi, please help me. When any company takes over another running organization, should a letter of transfer be given to the employees, or should a relieving and experience letter be provided? If you can, kindly share with me the format of the letter of transfer for the company takeover.
