Dear Sir, I would like to inform you that my current company has recently acquired a functioning factory this month. The factory possesses all necessary documents for its operation, including a factory license valid until 2014, water and air consent up to 2014, and an approved factory building plan.

Kindly advise me on the process to update the name and address on the original documents. Additionally, please guide me on how to proceed with changing the electric connection.

Has your company purchased the factory as an asset or as a business ? Did they buy the company owning it or only bought the factory without buying the company ?

Thank you for your reply, sir. We have purchased only assets and land, not the business. I would like to know the process for changing the address and our business name on the factory license, building plan, Water & Air Consent, etc., which were already issued to the previous factory.

You will have to send a letter to each department informing them of the change of ownership. The license and consent letters were issued to the previous owner and do not get transferred. You will need to apply for fresh licenses as well, I believe. Similarly, ESIC, PF, etc., will also need to be updated. If you do not already have one, you must apply for a new number.

For the change of the factory license, please submit an application to the factory inspector in Form No. 2 along with the incorporation certificate (IOC) for the name change of the company. Additionally, include a challan of Rs. 50.

Similarly, send a letter to all government authorities for the name change of the company with the IOC.

Steps to Update Company Information

If it is a Pvt Ltd or Public Ltd company, the first and foremost application should be made with the Registrar of Companies. This involves resigning all directors and appointing new directors, followed by changing the registered office address and amending the Articles and Memorandum of Association.

Additionally, as advised by Saswata Banerjee, please submit fresh applications for a change in name to each relevant department, such as PF, ESI, Factory License, etc.
