HR Manager to be an Authorized Signatory - is it mandatory to get any resolution passed from the Auditor?

Hello all,

Please advise: as an HR & Operations Manager, is it mandatory to get any resolution passed from the Auditor to be an authorized signatory in a company (to sign in the compliance documents), or does only the seal with designation suffice?

Hi,

It is the Board that needs to pass a resolution authorizing the concerned official to sign all documents on behalf of the company.

"RESOLVED FURTHER THAT any one of the following officials of the company/bank/cooperative society/trust/legal entity is hereby authorized to sign all agreements, power of attorney, documents..."
