Agreement between IT company and client for full time dedicated resource

we are an IT company, we are offering full time designer / programmer to client on monthly basis. what kind of agreement we need to make with client.

In terms of HR the following points can be added in the agreement

No poaching. The Client should not encourage the Programmer to resign and join them.

terms like Programmer will be on the rolls of Parent Company

Salary : who will pay salary.

Right to revoke the arrangement of deputation of Programmer to Client place at any point of time during the stipulated period with or without information.

Are you doing manpower deployment for a fixed period or acting as recruitment consultant and assist companies to find right people or sending your employees on deputation basis ?

Yes, we offer IT Manpower. for example, a company XYZ wants a website designer for 2 months so we quote them and provide them Website designer. but we want an agreement between XYZ and My Company so they should not contact in future directly to work with that designer.

You can add Non-Solicitation of Candidates clause in your agreement like

Non-Solicitation of Clients During the restricted Period, the (name of the Company) shall not solicit or otherwise attempt to establish any business relationship with any Person that is, or during the _months period preceding the date of the Programmer's termination of employment with the Company......
