Dear Sakshi,
For each assignment or project, you need to issue the Purchase Order (PO). Before issue of the PO, you need to finalise the standard terms and conditions of the PO. This is what contract agreement will be.
However, contract agreements vary depending on the nature of the requirement. Therefore, we the members of this forum are outsiders and cannot comment on the terms and conditions of the contract agreement. One has to study thoroughly the nature of your business and what kinds of work the contractors will do. Unless we know about it, nothing can be said about it.
Nevertheless, roughly you can cover the following points:
a) How the quality of the work will be defined? How the accuracy will be measured?
b) Delivery time
c) Cost of the services
d) Whether company will provide any tools, instruments, assets to the contractor? If yes, then you need to have a separate agreement for handling those assets.
e) Place of the delivery of the work
f) Can contractor sub-contract the work? If yes, what are the terms and conditions of sub-contracting?
g) What will be work flow? What will be the method of issue of PO? What will be the method of raising the invoice?
h) Penalties or dis-allowances for deficiency in quality
i) Penalties or dis-allowances for deficiency in the quantity
j) Payment terms
k) What will be method of inspection of finished work?
l) What will be the method of escalation to address the workplace issues?
m) Will there be midterm review of the project? If yes, then what will be the frequency? What will be the format of the reporting or the format in which information to be be provided?
n) Terms and conditions if the contractor wishes to withdraw while project is on?
o) Under what conditions the company will terminate the services of the contractor?
p) Clause on force majeure
q) Conditions of indemnity
Hope the above points are sufficient.
I am able to write so many points because I conduct the training on Contract Management.
