The process what you are planning will have lot of implications. Need to think alternatives, please specify the total number of employees in your organization, is your organization works round the clock, possibility of having a dining hall. I opine instead of transporting the employees better to transport the cooked food by this you can avoid many issues not only statutory / legal but more of people related, discipline & operational issues.

Getting plans approval for canteen away may cause difficulties from the authority.
Since both the companies are different legal entities, then there should be agreement between both the companies for sharing one company's canteen premises. Only this document may cause approval from the factory authority.

As suggested by seniors you can go for outsourced food or have a transport facility for traveling of the employees to and fro for the lunch time.
Regarding Factory layout approval you can show a space (if available) with dining space as the dining room only and you need to be fairly discussing the same (non availability of canteen) with the department for approval.
If your strength is 250+ employees the enactments state an in house canteen/canteens has/have to be maintained by the occupier of the Factory.
