My company is a sales and marketing company. We have some important data like client lists, project details, etc., which is fully confidential. We want to create a non-disclosure agreement with our employees. Is it legal, and can anybody guide us on how to do it? Also, is there any difference between an NDA and a CDA agreement?

By CDA, you mean Confidential Disclosure Agreement. It is also referred to as a Non-Disclosure Agreement (NDA), also known as a Secrecy Agreement. It is a legal agreement made between the organization and an employee, which states that the information shared with the employee has to be restricted from wider use.

Yes, they are legal, though it is difficult to ensure compliance. Number of formats are available on net.
