I am in the process of finalizing a Payroll Vendor for my company. While closing the deal, I would like to bind the Payroll processor and my company in a contract. Hence, I request all of you to kindly send me a draft contract whereby I can try to protect the interests of my company. Also, please suggest the precautions I have to take while finalizing the contract.

Before going ahead with the contract with the vendors, try to make a Services Legal Agreement (SLA) with them so that everything you require from them is clearly defined in terms of timing. This will help you avoid any scrutiny from the IT department or government officials.
Secondly, sign a Non-Disclosure Agreement (NDA) as payroll information is confidential and must be handled accurately and in a timely manner. Ensure that your vendor does not disclose your company's name when engaging in other deals in the future.
Thirdly, structure an agreement that allows you to verify the correctness and quality of the services provided. Consider implementing a trial period for the first two months to assess the services before finalizing the order. Be cautious about sharing all data during the trial phase.
Fourthly, before finalizing the agreement, communicate with your vendor's clients to gain confidence in conducting business with them.

Hi Ajsahib,
I agree with Sharad. However, I doubt if any vendor would give you a trial for two months. The best way to find out about their credibility is through references. You could ask the client to suggest a few good names whom they have serviced in the past and if possible to get a photocopy of the agreements signed with them.

Imran, the answer to your first question is that we are the service provider, so sometimes potentials do ask. We also provide, so it's a matter of understanding and gaining confidence in the business. Secondly, you are right; when somebody suggests a name, it can help in accomplishing tasks.
