>. CONFIDENTIALITY AND INVENTIONS AGREEMENT You have been offered employment by XXX company (“short form of XXX”) and have indicated your acceptance of the same. As a condition of your employment with XXX, it is necessary for you to agree to hold information which you learn about XXX during the course of your employment with XXX and for a period of five (5) years thereafter, in confidence and further to provide that any and all rights over the results of your work will be owned by XXX. 1. Confidential Information “Confidential Information” means and includes any information which you are privy to as a result of your employment with XXX, including any inventions, design, technology, logic, formula, algorithm, technical information, trade secrets, concepts, ideas, methodologies, developments, technical information, drawings, procedures and processing details necessary to prepare a product, sales and marketing information and personnel data. 2. Conflict of Interest You warrant that your work with XXX will not in any way conflict with any continuing interests or obligations you may have to prior places of employment. You further warrant that, during your employment with XXX, you will refrain from any other activities which would present a conflict of interest with your work on behalf of XXX. 3. Secrecy You agree to hold in the strictest of confidence all Confidential Information and proprietary information which you obtain from or develop for XXX and you agree not to use for your benefit or for the benefit of any other third party, such information, at any time during your employment with XXX or after cessation of employment with XXX. 4. Inventions Every invention, discovery and improvement made, conceived or reduced to practice by you during your employment with XXX shall be deemed work made for hire and shall belong exclusively to XXX. You hereby agree that you shall not have or claim any rights over the same, including moral rights of authorship. You shall report conception, creation or development of any products, processes or solutions promptly to XXX. You shall execute all documents and papers, and shall furnish all reasonable assistance required (i) to establish XXX's title to such inventions, discoveries and improvements and (ii) to enable XXX to apply for Intellectual Property Rights registration thereon. Thanks for replying. I apologize as I haven't looked at it till now. Actually, we were going for our CMMI Level 3 certification, and we just finished that. So I could not check my account.
We have drafted an agreement as per our needs. I will compare both and let you know. Also, I will send it across to you so that you too can compare.
