Need Help with Registering Our Swedish IT Branch in Chennai – Any Guidance?

We are a Swedish-based IT company in Chennai, headquartered in Sweden. Can anyone help me with the registration of our branch office in Chennai? Could anyone guide me through the registration process?

Process for registration:

1. Filing of ROC
2. STPI/SEZ
3. Import Export Code (IEC) Code
4. Local Acts e.g., Service Tax if applicable, Sales Tax, etc.
5. Professional Tax
6. PF
7. ESI
8. Labour Dept. License (shops and establishments)
9. Other related acts:
- Gratuity
- The Minimum Wages Act
- The Maternity Benefit Act
- The Payment Of Bonus Act
- The Payment Of Wages Act

I suggest the above steps based on our knowledge.

Hey Gops,

Do you want to register your operations here under the Companies Act? That will attract a whole lot of form fillings and further compliance with the rules and regulations of the Companies Act, 1956. (Registration under this act will give you the status of a private/public company). If this is the case, please write to me.

If you only want to register your branch, that's much easier. You just have to register under the Tamilnadu Shop & Establishment Act. Please contact the Chennai Municipal Corporation for the same.

Our firm is engaged in trading business in Mumbai and is registered in Mumbai. We have VAT/CST numbers in place. We are looking to establish a new branch office in Rajasthan. Could you please advise on the procedures for opening a new branch?

- Should we apply for fresh registration in Rajasthan under the shop act?
- Do we need to apply for fresh registration for VAT/CST? Will the VAT/CST numbers remain the same or change? What is the procedure?
