Understanding NDAs vs. CDAs: How to Legally Protect Confidential Company Data?

Dineshpadwale
My company is a sales and marketing company. We have some important data like client lists, project details, etc., which is fully confidential. We want to create a non-disclosure agreement with our employees. Is it legal, and can anybody guide us on how to do it? Also, is there any difference between an NDA and a CDA agreement?

By CDA, you mean Confidential Disclosure Agreement. It is also referred to as a Non-Disclosure Agreement (NDA), also known as a Secrecy Agreement. It is a legal agreement made between the organization and an employee, which states that the information shared with the employee has to be restricted from wider use.

Thank you for the reply. Are both agreements the same, or is there some difference? Please advise.

Yes, they are legal, though it is difficult to ensure compliance. A variety of formats are available on the internet.
