Starting a New HR Manpower Consultancy

1. We, two partners, are planning to start a new HR manpower consultancy in Andhra Pradesh under joint proprietorship without even a single employee. We are planning to support manpower across the nation to my corporate clients under a vendor agreement.

a) Do I have to apply for a labor license from the AP state government, even though we do not have employees in our new startup placement consultancy for which we are availing Andhra State Shops & Establishments Act registration under joint partnership proprietorship?

b) Do I have to apply for a GST registration certificate, even though my new startup company will not make an annual turnover of more than 10 lakhs?

c) Do I have to apply for MSME registration? Is our placement consultancy of manpower service provider applicable for MSME?

d) How much service tax percentage do we need to charge when we raise an invoice from our corporate clients? Or does the percentage of tax depend on the invoice amount raised?

Partnership and proprietorship are different. In proprietorship, only one person is the sole proprietor, and all activities are his/her own responsibility. Whereas, a partnership is a firm, LLP, or sometimes a Pvt Ltd company. Please seek guidance from your nearest CA in this regard.

HR and manpower recruitment/placement are distinct activities.

GST and Turnover

GST is optional for businesses with a gross turnover below 40 lakhs.

MSME and Registration Requirements

MSME is not applicable unless there is some manufacturing or goods processing done at your place. However, shop and establishment registration would be needed.

Service Tax and GST Integration

Service tax has been abolished and is now integrated with GST at an 18% slab payable to the Government of India.
