How Can We Balance Our Consultant Agreement for Organizational Transformation?

I am working with a textile firm. We have hired a consultant for our firm to undertake the work of organizational transformation, for which we need to sign an agreement between the consultant and our firm. He has sent a draft copy of the service agreement, which is more inclined towards the consultant's side. Kindly share a few common points that we can also incorporate into the agreement from our firm's side.
