How Do I Draft an MoU for a Software and Hardware Partnership? Seeking Guidance

Hi, kindly guide me on how to create an MoU document between a software company (SC) and a hardware company (HC) in a situation where the SC will be using their own software, hardware, and staff provided by HC in the name of the SC. The SC will receive payment from the client and then provide the hardware cost and service charge to the HC.

Without getting into the nitty-gritty of the arrangement between the SC & HC, this looks outright like a typical outsourcing arrangement. The SC is outsourcing the hardware part and people services to the HC.
