Documents Required for Name Change Post-Merger

I would like to know what documents are required for a change in name (RC Bombay Shop & Establishment) following the merger of two companies on March 5th, 2013. We possess the Court Order confirming the merger of the two companies, effective from the specified date. However, when I approached the BMC office, they requested additional proof to validate the merger as the court order alone was deemed insufficient.

Could you please assist me in understanding the necessary documents for a name change under the Bombay Shop & Establishment Act in the case of a merger between two companies?

You need to submit Form E to BMC and pay a fee of Rs. 120 for this E Form along with the following documents:

1. Court order;
2. Fresh Incorporation Certificate issued by ROC upon merger.

Purpose of Form E

Form E serves as a notice of change. There are two changes involved. Firstly, the change of the company's name following the merger of two companies, and secondly, the change in the number of employees resulting from the merger. Both changes must be reported in the same Form E.

Additionally, you are required to surrender the registration certificates of both companies before the merger takes place.

Dear Korgaonkar Sir, does it mean that I have to go back to the Company Registration Office and issue a new RC copy for the present merged company (i.e., after submitting the old Registration Certificate of both companies)? Then, that new Registration Certificate will help me in getting the name changed in Bombay Shop and Establishment Registration.

ROC-Related Responsibilities

ROC-related issues are your responsibility. Who was involved in the process of the merger? I hope it was certainly not you.

You should request the updated IC document either from your CS, your Finance head, or your Directors. They should have already obtained it.
