cruncher, there are always 2 sides to a coin. Good and Bad. Honestly, since I don't know which side you are on, I would suggest you do the following.
1. start looking aggressively for another job
2. till that time stay little sweet n cozy with the CEO

You are at a high managerial level, you know the CEO is starting to look for your replacement. He does not know that you know. Would you tell him that you know? If yes why should you?.........and if not, why? because both would start counting down your days unless you are having more resources than the CEO for the growth of the company. This is a trick I used to escape from a highly managerial level job, and instead of resigning, I got a retrenchment for the foolishness of my CEO. My advice is that just keep silence and look after your own family and (it is) their income.
