Dear All, I am working in an engineering consultancy service company. It was a private limited company, and now it has become a public limited company. I need to inform the bank where we hold our salary account and the PF and ESI offices about this change. Please review the draft below and advise me on how to draft an email for the mentioned individuals.

"Dear Sir,

Since our company, 'xxxx consulting engineers (P) Ltd.,' has become a public limited company, the name has been changed from 'xxxxxx CONSULTING ENGINEERS (P) LTD.' to 'xxxxx CONSULTING ENGINEERS LIMITED.' We would like to understand the further formalities that we need to follow in the upcoming days."

You need to present an original copy of the Board resolution stating that the company name has been changed. It must have all the signatures of the persons who signed when you opened the account with the bank.

Hi Suganya, the shortcut is, first of all, to ask your bankers what they want. Comply with those requirements, that's all. Drafting a letter for this purpose is very simple. You may even write like this:

Precisely, the banker would require:

1. Certificate of incorporation (issued by the Registrar of Companies)

2. Certified copy of Articles of Association & Memorandum

3. Specimen signatures & photos of authorized signatories

4. Extract of Board Resolution certified by the Company Secretary

5. Copy of Delegation of Power, if Cash Credit or OD is involved, special resolution. In this case, you have to resubmit all the loan documents afresh or renew as may be required.

Serial No. 4 & 5 would be with your Company's Common Seal (to obtain from Company Secretary).
