How Do We Draft a Resolution to Make Family Members Investing Partners?

Hello Sirs,

We run a pharmaceutical company in which my father and my uncle are the managing directors, and my uncle's son and I are the directors of the company. We want to pass a resolution so that all of us become the investing partners of the company, and the production head becomes the working director of the company.

After discussion, the Board passed the following Resolution:

"Resolved that in order to manage the Company's Foreign Exchange exposure, the following officials be and are hereby authorized, jointly and severally, to enter into foreign exchange transactions and contracts on behalf of the Company with Citibank N.A.

The said ______________________ are hereby further authorized to negotiate and enter into foreign exchange contracts, give instructions to the Bank regarding the rollover/cancellation, and all other dealings related to foreign exchange on behalf of the Company and for such purpose to execute contracts and other documents including indemnities and other commitments as may be necessary.

Resolved further that Citibank may rely on this Resolution until receipt of a certified copy of a resolution specifically pertaining to foreign exchange, revoking or modifying this Resolution.
