Can We Call Someone a Director Without Board Membership? Seeking Legal Clarity

Hello All:

I have been informed that we cannot offer the designation of 'Director xyz' to anyone unless the person is on the 'Board of Directors'. Is this true? If yes, please provide the legal document to support it.

We have staff members to promote to the 'Director' level, but they will not be part of the Board of Directors. However, my head of finance states that we should not designate anyone as a Director unless they are among the Board of Directors.

Please assist me with this issue.

A person can be a director even though he may not be a member of the board of directors. Please check the banking industry for a live example.
