Navigating Company Name Changes: How Do I Update Legal Registrations Quickly?

Dear All,

Our top management has decided to change the company name for some reasons, and we have already applied with the company registrar. Kindly help me with the procedure and the required applications for the following authorities:

1. PF
2. Factory license
3. Contract Labour Registration (Principal Employer)
4. Professional Tax
5. GEB

Please assist me as soon as possible.

When you receive an order from the Registrar of the company, you should file that order along with a covering letter to all authorities regarding the change of name.

You have to submit the following documents:

1. Registration Certificate issued by the Company Registrar.
2. Memorandum and Articles of Association.
3. Board Resolution copy to effect the change of the business name.

Dear Rahul,

Apart from the authorities mentioned by you, your company will have to apply for all the registrations, licenses, contracts, and agreements with the new name. The foremost importance would be Income Tax, Excise, Sales Tax, Import-Export Code, all labor licenses, contract licenses, banks, Post Office, etc. If you have any vendors, you need to amend the contracts with them if in vogue and so on. In fact, it's a combined communication to address functional areas like HR, Legal, Finance, Excise, Manufacturing, etc. You may also have to change the pre or printed stationery of the company. It would be advisable to prepare a list of all such authorities, parties, departments, and seek their acknowledgment, especially government departments, to avoid any future litigations with them.

Dear Rahul,

Our colleagues have already advised you well. A change in name will have minor procedural changes depending on the type/nature of your Company's business and incorporation (for instance, a Company under the Companies Act, 1956) or Firm, etc.

I may reiterate that a change in name will entail the following:

Letter for change in name to all authorities separately, duly signed at least by a Director on the Board on your Company letterhead.

Enclose the following:
1. ROC certificate affecting change in name with incorporation certificate providing the date of registration and incorporation in response to Form No. 18 filed with ROC.
2. Amended Memorandum of Article & Association (MOA) & AOA
3. Certified true copy of the 'special' Board Resolution for a change of name
4. List of Directors after a change in name (in the appropriate form, say, RS 32, etc)
5. PBWH License (if an STPI registered Company), normally an EOU
6. Certified copy of File Form IA (filed with the prescribed fee) wherever asked for.
7. Any other document/prescribed form/application of the respective authority such as Customs, Excise for ST/CST, etc.

These should suffice in general. Get a copy acknowledged by each Govt. deptt. for official records and request communication by such departments confirming registration/incorporation of change in name with them.
