Company Secretary's work is to mainly look into the legal matters of a firm or organization. It also mainly is a multifaceted job which has the knowledge and the affiliation towards every conceivable department in the organization.
A CS also maintains balance in Organisation with importance given to legal soundness, which is one of the most imperative qualities/responsibilities of a CS.
A Company Secretary also looks into the financial / legislative and the legal aspects to do with the organization. If the company is public or deciding to go public, then the public issue matters fall under the responsibility of the CS.
So in a way CS supports all the functions providing legal knowledge wherever required including HR Department.
Now coming to the next part of your question, A phd in HR is not only for academic purpose but also can be utilized for research in many organisation. I have seen Many FPM or People who have achieved Doctorate degree working in good companies like Thomas Cook, Tata and others.
But before you select any of these as your career path... i would suggest you to wrtie on a peace of paper about your interests in life, what is that you want to do...DO not jump for things that others are doing and are successful...but opt for a thing which interests you Madhu. It will surely bring good results.

This is a professional forum, any on and everyone has the right to express their views no matter you like them or not, Also Shrivathsa did not say anything wrong it was her view of CS and HR so let it be. You are senior people of the forum so your job is to correct them not insult or get aggressive.
Let us be open to criticism also...Dis agreements, difference in opinion and views are part of life and we all very very different individuals from each other and its in our nature to differ. Accept it and then share your experiences and opinion to make people understand your side of story.
