Dear Friends,
I am in the process of finalisation of a Payroll Vendor for my company. While closing the deal I would like to bind the Payroll processor and my company in a contract. Hence I request all of you to kindly send me a draft contract whereby i can try to protect the intrests of my company. Also please suggest me the precautions which I have to take while finalising the contract.
Your advice on above will be very much helpful for me.

Hi ajsahib,

before going ahead with the contract with the vendors, try to make an Services Legal Aggrement(SLA) with them so that every thing what ever u want from them should be in timed so that you should not face any scrutiny with the IT dep. or any other givt. officials.
2ndly is Sign an Non Disclouser Aggrement (NDA) as payroll is one of the confidential and should be accurate in time and your vendor should not put your companies name in front of making some another deals in future.
3rdly make an aggrement in such a way so that you should check the process is correct, upto mark with expectation of you such as first two months you should check the services(Trial version) and after that you make it final order. Dont give whole data in trial version
4rthly before sining talk to their clients so that you will get an confidence in doing business with your vendor partner.

Hi Ajsahib,
I agree with Sharad.
However, I doubt if any vendor would give you a trial for two months.
The best way to find out about their creditability is through references. You could ask the client to suggest a few good names whom they have serviced in the past and if possible to get a photocopy on the agreements signed with them.

so its matter of understanding and getting confidence to the business
