Your challenge is not in framing polices or process, rather your challenge is to make these three people understand the need of structured approach.
Unless you make them convinced about what you want to do. You will not success.

Thank you for the reply. I have already emphasized the need for a structured approach. The challenge I am facing now is the Restructuring Process. (not only in terms of HR & Admin, but also in terms of Finance, Payroll, Purchasing, Sales, Marketing, Operations, etc)...
What I now need are sample policies and procedures which can be modified to keep the company running till a tailor-made system of polices & procedures can be drawn up.

For Finance, Purchase, Sales, Marketing, Operations, I would suggest to consult experts from the respective field.
What I understand that there is no process at all in any area. So in that case the best thing you can do, if you have the authority, implement an ERP (e.g.: SAP, Oracle or even customised).
With the implementation of an ERP you can a structured approach.
