I am at a high managerial level, I know the CEO is starting to look for my replacement. He does not know that I know. Should I tell him I know? If yes then why.........and if no, then why?

1) In that case, i recommend you both have a detail discussion across the table and try to sort out whatever misunderstandings you have between yourselves. You both may have different philosophies but if it can serve the purpose or help in meeting organisation's goal/business objectives, then its of no use.
2)Please try to keep your EGO off the ORGANISATION'S BUSINESS OBJECTIVES and work for a COMMON GOAL. None is paid just for running/managing the business setup based on individuals philosophies or ideologies.
3) Synchronization between you both is MUST.
4) Please try to put across your points/action plain in written format if you feel that, it is productive for meeting only your organisation's objectives. Remember, you need to try your best to discuss effectively/productively without blowing off your brains.

I agree with Mr. Khadir's suggestion. It doesn't make any sense to let your boss know of your awareness about his on-going search for your replacement. Rather, you can approach him with your own suggestions regarding sorting out any visible hurdles or issues in the path of company’s growth. No matter you two have different business philosophies, but don’t forget that both of you are working for the same organization with common goals, i.e. its growth & betterment. Also, take the fact of “different business philosophies between you two” positively in a way that combining both of your philosophies together, you can bring a completely new philosophy which will be more meaningful, helpful & powerful for your company’s business. Also, both of you can't oversee the fact that regardless of your style of working; you have to work as per your company's laid standard policies, processes and systems.

And then, you can’t expect your boss to adapt with your ways, rather, you have to adapt with his ways.

I hate to be honest, but at this stage, you have announced the reason and the probable outcome. If a CEO have been placed by the venture capitalist and is looking for a replacement for the CFO, the origination of the dissonance is clear. The philosophies seems to have been different, way beyond the periphery. I am sure you detected this sometime back. Please reconnect with the owners. You had been hired as you were aligned to what they wanted .

At this stage you can only revive those alignment and check the gaps. I plainly do not see much of an outcome from the discussion with the CEO. It might at the most remain customary, if evoked.

Please check the future business projects and how much is it intertwined with your capabilities. Often the core philosophy may remain same yet functioning can become entirely different. If there are any such dissonance between the future plans and your offerings, you may need to take a hard look at your goals.

Hence, I request you to connect with the ones who hired you and then be lead to the current decision makers. I am sure, you will take this opportunity to strengthen your ties. At the end of the day, business relations should stand beyond the time. Hope you would set your priorities accordingly. We wait to read your success story.

As advised by others, may please to talk to your boss immedly without further delay, difference of opinion may be sorted out across the table. You may pls try prove yourself that existing (you) person is always a better person than unknown person who comes to place in future, may not aware of the existing culture or methodology of working in present scenerio.
Atleast you should come to know that whether continue or discontinue ...no dragging further. World is very small.......NOT BIG as we said in earlier days.

Accoding to my Knowledge first you must analyse what he is, If he give the any suggestion how he will take up after rectified this all things than go forward, this is personal experience(B'coz some boss having broad mind rather than narrow mind).

hI fRIENDS,
Fruterh to the adivses of our seniors I have one point that is in general if the organization is not doing well or the investors found some flaws in the transactions of finance then only the investors like venture east will interefere and insist for a change in the top management. In that process only they might have inducted new CEO from their side hence it is better to sit with the new CEO and explain your efforts and your future plans & try to explain the realities and bring the facts before him which may give him a chance to relook in to his decision.
As CFO your position will be very critical and with out having the trust of the CEO it will be very difficult for you to continue and deliver your responsibilities.
