Hi All, Is company seal needed in offer and appointment letter. if its already printed on letter head? and what about signature of authorized person.

Seal may not be required if it is in letter head. Signatures of authorised person of Company and the employee for having accepted the offer are mandatory since it is a sort of contract agreement.

Dear friends,

"Common seal" of a Company is not fixed on the Apptt.letters issued to the employees. There are specific provisions made applicable where all Common Seal of the Co. should be affixed like Creation of charges for loans, shares etc. However what Prakash wants to know is about the Rubber stamp of the authorised signatory who signed the Apptt.letter. Normally no rubber stamp is affixed but it is a good practice to affix. But the Designation or the words "Authorised signatory" is a must whenever rubber stamp (normally it's a ...for abc....& co.. Name:_______Designation______ is very ideal practice.) As others said any thing can be faked. Nowadays Rubber stamp makers are given severe warning that they should obtain orders for making rubber stamps only from genuine parties whom they could identify them and should obtain the orders in writing on their letter heads duly signed by a responsible official and maintain/show them on inspection. I have come across many makers refuse to entertain orders from unknown persons. Ofcourse there are many exceptions too.

Prakash, if you will have any iota of doubt you should contact them and make sure about the authenticity.

Dear Prakash,
A common seal is not such a common thing to be used by one and all of the company executives. The common seal should be affixed to any instrument only by authority of a resolution of the Board or a committee authorized by the Board. The common seal should be affixed in the presence of managing director or any two directors, and the company secretary or any other person as the Board may authorize for the purpose. The Articles of Association may provide for affixing of common seal in any other manner. Also, the persons in whose presence the seal is affixed should sign every instrument to which the seal of the company is so affixed.
Just think, whether each and every appointment is approved by the Board of Directors or the appointment order is required to be signed by the MD or Directors of the Company?
Affixation of the common seal is required to be made only on certain specific documents, share certificates and share warrants issued by the company.
