I am working in a Jewellery manufacturing Company in Jaipur. Our employer wants its employees to sign a letter of undertaking of " Confidentiality & Non - disclosure". If any body explain us what is it ? Also if anybody can provide us format of the undertaking which shall be benifecial for both employer and as well as for employees also.

Confidentiality & Non - disclosure is an agreement between two parties that outlines confidential material, knowledge, idea which could be not be patented and might or might not be a trade secret. Under this agreement You cannot disclose any information of your employers business intentionally (for your profit ) or unintentionally (like client list, distributors or suppliers name and prices offered by them which would vary and basis on which decision is taken) which could cause loss to business. Even after you left the organisation you are bound to this agreement till the specified period of time mentioned in agreement

I don't think that there is any particular format to this or better i would say if there is any i am not aware of it. these things are usually mention in appointment letter this is why read it thoroughly before signing it.

you are absolutely right ,appointment letter is also an agreement between employer and employee and same movement if is not mentioned in appointment letter same can be designed sepreately .
