Dear Seniors,
Please help m e out. My MD wants me to draft a contract agreement for an external agent. I have given him a couple of contact agreement formats used in India. As he is from UK he doesnt feel confident about the way they are drafted and wants something more to be included.
Please suggest me a good contract template for the same.

Dear All,

That was a great response from you all. I heartily convey my gratitude to you all for showing concern.
I here narrate the whole scenario regarding the contract agreement. We are hiring an external source( an individual) to maintain our web servers for certain time( the time is not mentioned) for some compensation( not been revealed regarding the amount).These were the inputs. I have prepared a contract agreement including the postulates such as;

> Services intended by the contractor(The External agent).
> Confidentiality
> Compensation
> Conditions for termination of the contract
> Intellectual Property rights
>Jurisdiction
These were the main points highlighted

My MD saw the above contract agreement and conveyed that it was good but not getting confidence yet as it lacks something else.

Here, I got so frustrated as they haven't given me the proper inputs and information of what they are looking out for in the contract.

Hope, this can act as a clear picturesque . Awaiting valuable replies from you guys!!

Dear Sowmya,
Apart from the above clauses, you will have to incorporate Term of the Agreement, Indemnification provisions, events of breach and time frame to cure it and consequences thereof, Liability Clause, Independent Contractor Status clause, Survival provisions, Remedies, and Advice of Clause..etc.
