Sub: Appointment for the Position of Executive (Purchase)

Dear Ms Shaveta Arora,

On the basis of your performance, we are pleased to appoint you in our organization on the following terms and conditions with effect from 1st Sept.,2009.

1. DESIGNATION:-

You will be ranked as an Executive (Purchase). Your posting will be at Company name Delhi. Your immediate reporting officer will be Sr. Manager (Purchase).

2. ROLE AND RESPONSIBILITES:-

You will perform such role as assigned to you by Sr.Manager (Purchase) as well as the Management from time to time.

3. STANDARD OF PERFORMANCE:-

You commit yourself to devote your entire time for the assigned responsibilities so as to accomplish the given tasks and achieving the objectives within the agreed time frame with expected quality and efficiency standards. As a part of performance standard, you also commit to observe and maintain best standard of behavior, discipline and work ethics, while following Rules and Regulations of the Company as are in force and/or amended from time to time.

4. MONTHLY COMPENSATION AND BENEFITS:-

You will be entitled to such compensation and benefits as are given in the Annexure ‘A’.

5. MEDICAL EXAMINATION:-

The company reserves the rights to get you medically examined periodically. Your employment will be liable for termination if the company finds it necessary to do so, on the ground of your being medically unfit at any time.

6. PROBATION PERIOD:-

You will be on probation period of six months from the date of your joining. The Management may, at its sole discretion, extend your Probationary period for such term as considered appropriate. You will continue to be on probation until a communication of confirmation is issued you in writing. During the period of probation, the appointment is terminable either by company or by you by giving fifteen days (15 days), notice or payment in lieu thereof.

7. NOTICE PERIOD:-

After confirmation, your services are liable for the termination, without assigning any reason, on one month notice in writing on either side or basic pay in lieu thereof. The company reserves the right to pay or recover salary in lieu of notice period. On receiving notice, if in the opinion of company it is prejudicial to its interest to continue employment during the notice period, the company may at its discretion relieve you before expiry of the notice period and is not bound to give any reason thereof.

8. LEAVE:-

You will be entitled to as per company rules from time to time privilege and casual leaves as may be applicable to your category of employees.

9. TRANSFER:-

You will be liable to be transferred in such capacity as the company may from time to time determine, to any other location, department, establishment, factory or branch of the company or its affiliate, associate or subsidiary companies subject to the provision that your remuneration will not be adversely affected. In such a case, you will be governed by the terms and conditions of service applicable to the new assignment.

10. OTHER WORK:-

Your services are on full time employment with the company and you shall devote yourself exclusively to the business of the company. You will not take up any other work for remuneration (part-time or otherwise) or work in advisory capacity or be interested directly or indirectly (except as shareholder or debenture holder) in any other trade or business during the employment with the company without written permission of the Management.

11. TRAVEL;-

You will be required to undertake travel on company work and you will be paid travel expenses for this as per the company rules.

12. CONFIDENTIAL INFORMATION:-

You will not disclose or divulge or make public to any unauthorized person except on legal obligation, nor use for any purpose other than the company, s work during your employment with us or therefore any information concerning the company, s (or its associates) interests, operation, plan, know-how, etc that you may come to know as an employee of the company, failing which the company can initiate necessary disciplinary action as deemed fit as per the rules of the company.

13. PROTECTION OF INTEREST:-

If you conceive any new or advanced methods of improving processes/formulae/systems in relation to the operation of the company during the course of employment with us, such developments will be fully communicated to the company and will be and remain the sole right/property of the company.

14. PAST RECORD:-

If any Declaration given or furnished by you to the company proves to be false or if you are found to have willfully suppressed any material information, in such case, you will be liable to removal from service without any notice.

15. COMPLIANCES OF SECTION 314 OF THE COMPANIES ACT, 1956:-

This appointment is subject to your not being a relative of a Director of the company within the meaning of Section 314 of the Companies Act, 1956. In case, in future, you happen to be related to any of the members of the board of Directors of the company, you shall intimate the same to the Management in writing and continuous of your employment thereafter shall be on the compliance of the provisions of the Companies Act, 1956.

16. TRAINING:-

If you are sent for training abroad, you will have to sign a bond for the period and amount which will be decided by the company depending on the period of training, travel and other expenses incurred.

17. AGE OF SUPERANNUATION / RETIREMENT:

Your age of Superannuation will be sixty years and on attaining the same, you will stand retired from the services of the Company.

18. ON SEPARATION:-

On acceptance of resignation or termination of appointment, you will be obliged to:

a. Handover charge of your responsibilities in the manner required to such person as nominated by the Company.

b. Return to the company all correspondence, specifications, formulae, books, documents, cost data, market data, literature, drawings, software/hardware, effects etc. before you are relieved, and shall not make or retain any copies of these items.

c. Vacant the residential accommodation provided by the company in the campus or outside, and to handover the vehicle, furniture and all other properties of the company before you are relieved.

19. GENERAL

If you will be your responsibility to go through all the Policies, Processes, Rules and Regulations of the Company, keep updating yourself with the same regularly for requisite observance.

Your appointment is governed by the company, s policies and rules as applicable from time to time.

Since, you are in the Executive category, will not be governed by any rules and Regulations, which are/may be applicable to Workman category including the Workman Compensation.

You will not receive any presents, gifts, commissions, loans, advances or any sort of gratification or benefit in cash or kind from any person, party or firm or company having dealings or any connection with the company.

After confirmation you may remain absent in excess of period of leave originally granted or subsequently extended, you will loose your lien on your payment.

That in case you remain absent without prior permission or sanction of leave for 3 days in a month then you shall be treated as a habitual absentee.

That in case of any changes in address during the course of your employment, it will be your duty to intimate to the Management in writing within three days from the date of such changes. Your new address will be changed in your personal records also.

Please confirm the above terms and conditions are acceptable to you by signing a copy of this letter of appointment.
